Company Formation in Romania
Setting up a Romanian company as a non-resident is straightforward once the structure is decided — and expensive to get wrong. We advise on the choices that matter, coordinate the file, and take over the accounting from the first month of the new entity.
The most common vehicle is the SRL (societate cu răspundere limitată), the Romanian equivalent of a private limited company. It can be owned entirely by non-residents, whether individuals or foreign companies.
Who does what
REALCONT® advises on the commercial and tax choices — legal form, shareholding structure, activity codes, tax regime — coordinates the file and takes over the accounting once the company exists.
The legal documentation — articles of association, declarations, applications and the other instruments filed with the Trade Register — is drafted and assumed by a collaborating law office, with a practitioner registered with the Bucharest Bar Association.
The registration itself is carried out by the National Trade Register Office (ONRC), the public authority empowered by law. REALCONT® is not a public authority and does not substitute either ONRC or the legal profession.
Decisions to take before filing
- Legal form — SRL in almost all cases; other forms exist but rarely fit
- Shareholding — individual or corporate shareholders, and from which jurisdiction
- Activity codes (CAEN) — these determine which activities the company may carry out
- Registered office — a Romanian address is required, with supporting documentation
- Tax regime — turnover-based micro-company tax or standard corporate income tax
- VAT registration — from incorporation or later, depending on your activity

After incorporation
A newly registered Romanian company has filing obligations from the first month, even with no activity at all. We handle the setup — enrolment in the ANAF electronic portal, activation of RO e-Factura, correct tax vector — and then the ongoing accounting and tax compliance.
Frequently asked questions
Do I need to travel to Romania?
Generally no. The process can be completed remotely, with documents signed electronically or through a power of attorney. Requirements depend on your nationality and on whether the shareholder is an individual or a company, so we confirm the specifics for your case.
How long does it take?
Once a complete file is submitted, the Trade Register typically resolves it within a few working days. Preparing the documentation takes about a working day, provided we have all the information. The final timing rests with ONRC.
Who drafts the legal documents?
A collaborating law office, with a practitioner registered with the Bucharest Bar Association. REALCONT® handles the advisory and coordination side, and the registration itself is carried out by ONRC.
Is REALCONT® a law firm?
No. REALCONT® is an accounting and consulting company. Legal services are provided by collaborating lawyers, members of the Bucharest Bar Association, under Law no. 51/1995.
